1. About Us

Erudience provides AI-powered automation solutions designed to streamline business workflows and eliminate inefficiencies. Our services are offered on a subscription basis to professional small and medium-sized enterprises (SMEs). By using our services or website, you agree to these Terms and Conditions.
In these Terms, “you” or “Client” refers to the business or individual using or purchasing our services.

2. Eligibility and Use

Our services are intended for professional and business use only. You must be at least 18 years old and authorised to act on behalf of the company or organisation you represent.

3. Service Access

We do not require account registration to access our services. Services are provided directly through business agreements and communication, not through a user dashboard or portal.

4. Subscription, Payment & Contract Terms

  • All services are provided under a 12-month contract, renewable annually unless cancelled in writing with at least 3 months’ notice prior to the renewal date.
  • Our pricing model is subscription-based with tiered service levels, agreed upon at the time of contract.
  • Payment is via bank transfer only. Payment terms (including due dates) will be specified in your service agreement.
  • Failure to pay on time may result in service suspension or termination.

5. Cooling-Off Period

You are entitled to a 1-month cooling-off period from the contract start date. During this time, you may cancel the agreement for a full refund, provided no significant custom integration or development work has already been carried out.

6. Client Responsibilities

To enable effective delivery of our services, you agree to:

  • Provide timely access to the relevant third-party platforms, credentials, or APIs
  • Ensure that the data and systems you provide access to are accurate, legal, and owned or controlled by you
  • Promptly inform us of any issues, changes, or risks related to your use of the service

We are not responsible for delays or performance issues caused by your failure to meet these obligations.

7. Service Levels and Support

We aim to ensure that our automation solutions are available and functioning as expected. However, we do not offer a guaranteed uptime unless otherwise agreed in writing.

Support Hours:
We offer technical and customer support Monday to Friday, 9am–5pm (UK time), excluding UK public holidays. Support requests can be made via email or phone, and we aim to respond within 1 business day.

Planned Maintenance:
We may occasionally perform scheduled maintenance. Where possible, we will notify you in advance.

Urgent Issues:
In the event of a critical failure or system issue affecting service delivery, we will take all reasonable steps to resolve the problem as quickly as possible.

8. Third-Party Integrations

Our automation tools may integrate with your existing platforms, such as CRMs, order management systems, or other SaaS tools.

You are solely responsible for maintaining access to your third-party accounts.

We do not store data from these platforms. We process such data in real-time only to deliver automation services.

We are not liable for any third-party service outages, changes, or data loss resulting from those systems.

9. Data Protection & GDPR

We act as a Data Processor under the General Data Protection Regulation (GDPR) and UK GDPR.

You, as the client, are the Data Controller.

We only process personal data as necessary to deliver our services.

10. Prohibited Use

You agree not to use our website or services:

  • To engage in unlawful, fraudulent, or malicious activity
  • To send spam, scrape content, or distribute malware
  • To attempt to reverse-engineer, resell, or white-label our services without permission
  • In any way that could damage, disable, or impair our services or reputation

We reserve the right to suspend or terminate service without notice if prohibited use is detected.

11. Beta Services

From time to time, we may offer access to new or experimental features marked as “Beta.” These are provided “as-is” and may be modified or discontinued at any time. Use of Beta features is at your own risk, and we make no warranties or guarantees about their performance.

12. Intellectual Property

All intellectual property rights in our technology, website content, branding, and documentation belong to us or our licensors.
You may not copy, modify, distribute, or create derivative works without our written consent.

13. Limitation of Liability

To the extent permitted by law, we will not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of profit, revenue, data, or business opportunity
  • Any failure or delay due to third-party systems or force majeure events

Our total liability under any agreement is limited to the amount paid by you in the 12 months prior to the claim.

14. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labour disputes, government actions, utility failures, or internet outages.

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor in interest.

16. Entire Agreement

These Terms, along with any service agreements or statements of work, constitute the entire agreement between us and you regarding the services and supersede any prior discussions or communications.

17. Survival

Any provisions of these Terms which by their nature should survive termination shall continue in effect, including but not limited to Intellectual Property, Limitation of Liability, and Governing Law.

18. Termination

We may terminate or suspend service:

  • If you breach these Terms
  • If payment is not received as agreed
  • If required by law or regulatory authority

You may terminate the agreement with 3 months’ written notice prior to renewal. After the cooling-off period, no refunds are available for early cancellation.

19. Changes to These Terms

We may update these Terms to reflect changes to our services or legal obligations. Any changes will be posted on our website with a revised “Effective Date.” Continued use of our services constitutes acceptance of any changes.

20. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
